PLEASE NOTE THAT THESE OFFICIAL SWEEPSTAKES RULES ARE TO BE READ IN CONJUNCTION WITH EVERYWORLD DEVELOPMENT LLC’S (“EVERYWORLD DEVELOPMENT”) TERMS AND CONDITIONS (“TERMS AND CONDITIONS”). THE SWEEPSTAKES RULES INCORPORATE SECTION 19 OF THE TERMS AND CONDITIONS, WHICH INCLUDE A MANDATORY ARBITRATION PROVISION WHICH REQUIRES THAT ANY DISPUTES BETWEEN YOU AND EVERYWORLD DEVELOPMENT SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL AND NOT A CLASS-WIDE OR CONSOLIDATED BASIS. PLEASE SEE SECTION 19 OF THE TERMS AND CONDITIONS FOR MORE INFORMATION.

1. OVERVIEW

Everyrealm Development LLC, P.O. Box 452, New York, NY 10276 (“Everyrealm development”) operates an online and mobile, browser-based, sweepstakes (the “Drawings”) where Drawing participants can win $EVERY tokens as defined in these Official Sweepstakes Rules. $EVERY can be used to participate in official Drawings on https://discord.gg/everyworld (the “Discord Server”) and, in the future, perhaps other apps, websites or servers.

In general terms, participation in Everyrealm Development’s Drawings on the Discord Server is subject to these Official Sweepstakes Rules (the "Official Sweepstakes Rules"). The game play, game timing, available prizing, odds of winning and all other specifics of participation in a given promotional game will be governed by the Game Rules and these Official Sweepstakes Rules.

Use of the Everyworld Discord Server is subject to applicable laws and is void where prohibited by law.

2. ELIGIBILITY

Everyrealm Development’s Drawings are open only to legal residents of Argentina, Canada (excluding Ontario), Germany, Indonesia, Ireland, Japan, South Africa, South Korea, Switzerland, and Vietnam, who are 18 years of age or older at the time of joining the Discord Server. Residents of other countries or individuals physically located in other countries are prohibited from collecting any payout (“Payout”). Failure to comply with this condition will result in removal and being banned from the Discord Server and the loss of all points and $EVERY acquired through your use of the Services to the extent legally permissible. For the avoidance of doubt, use of the Services is void where prohibited by law.

Everyworld’s Drawings are intended for participation ONLY by residents of Argentina, Canada (excluding Ontario), Germany, Indonesia, Ireland, Japan, South Africa, South Korea, Switzerland, and Vietnam. If you are NOT a resident of one of those countries, do NOT create an account on the Website, as the Drawings are NOT intended for you.

Employees, officers, directors of Everyrealm Development, its parent company, or any of its affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively, the “Sponsor's Affiliates”) and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether related or not) are not eligible to create an account or enter the Drawings.

3. “ENTRIES”

To participate in a Drawing, a person must first join the Discord Server. Please see the Terms and Conditions for additional information about eligibility, and use of the Discord Server. Access to the sweepstakes is offered by using Entries. Everyrealm uses three (3) types of Entries: (a) Points earned through the Everyworld Discord Server; (b) $EVERY Tokens.”; and ( c ) Alternative Methods of Entry (“AMOE”).

1. Points: Account holders can acquire or earn Points via the Discord Server. See section 4 below for additional information. Points have no cash value. Points cannot be directly exchanged for $EVERY TOKENS and cannot be exchanged for cash or digital gift cards.

2. $EVERY Tokens: Account holders can receive $EVERY Tokens as prizes in the Drawings. For example, if an account holder wins a Drawing, the prize paid and credited to the account holder’s Sweeps Points account would be credited as $EVERY Tokens and the account holder may be eligible to redeem such $EVERY Tokens for a cash prize. $EVERY Tokens may also be acquired on the secondary market through a cryptocurrency exchange.

3. Alternative Method of Entry (“AMOE”): Entries can be acquired by mailing in a request by postal mail. No purchase necessary. For more information, please see Section 5 below.

Entriess are to be used solely by the account holder who received the same for participation in the Drawings offered by Everyworld Development in full compliance with the Terms and Conditions. Without limiting the foregoing, Entriesare not transferable and cannot be purchased, sold, traded, or exchanged between account holders.

At all times, Everyworld Development shall own all rights to all Points; and, as such, Everyworld Development grants to participant a limited, exclusive, revocable, non-transferable, and non-sublicensable license to all Entries. For the avoidance of doubt, no property right in any Entries is conferred by Everyrealm to the account holder receiving said Points.

4. ACQUIRING POINTS

Users of the Services are incentivized to engage with the content on Everyworld through the distribution of Points which can be earned through various methods including:

• Watching a video

• Engaging with the content via clicking, upvoting, or downvoting

• Posting a review or comment

Participants can enter their earned Points into a regularly-scheduled drawing through the Everyworld Develpment Discord channel. 100 Points are required for each entry. A user is limited to a certain number of entries for each drawing period (“Maximum Entries”). Following each drawing, user points are reset to zero.

1. ACQUIRING ENTRIES VIA THE ALTERNATIVE METHOD OF ENTRY

Everyworld Development offers an Alternative Method of Entry (“AMOE”) option where you can request complimentary Entries so you can participate without making a purchase. Account holders that refrain from making a purchase of Entries may play promotional games on the Website on equal terms as those persons who choose to make a purchase of Entries; purchasers do NOT enjoy any competitive advantage in game play in any of the promotional games. To request a “Redemption Code” via the United States Postal Service please follow the steps below:

Handwrite on a 3x5 inch card: your first & last name, e-mail address, phone number and complete mailing address (including zip code); and place this card AND a handwritten self-addressed stamped return envelope with appropriate postage (a First-Class U.S. mail stamp) inside of another handwritten envelope with appropriate postage and mail it to:

Upon receipt of your envelope containing the index card, as well as the self-addressed stamped return envelope, Everyrealm Development will credit your number of Entries with 100 complimentary Entries.

Important Restrictions:

There is a redemption limit of one (1) AMOE submission per individual, per Drawing. All requests must be made by the named participant. The request must be postmarked from the same state as the participant’s current address. Requests made from a different address are void and will not be accepted, even if otherwise valid.

Each handwritten 3x5 card with accompanying handwritten self-addressed return envelope must be mailed separately. Everyrealm Development will NOT accept batched, bulked mailed or bundled submissions delivered in the same package. Such bulk packages will not be considered valid and will be voided without notice. The outer envelope MUST include your complete mailing address in the return address section of the envelope located in the upper left corner. The outer envelope MUST include sufficient postage (a First-Class U.S. mail stamp). Outer envelopes without sufficient postage will not be delivered by the United States Post Office and may not be returned to you if you have not included a return address on the outer envelope.

The inner self-addressed envelope MUST include your first & last name, street address, city, state and zip code AND sufficient postage. Inner envelopes that do not include your full name and/or address are void.

The addresses on the inner and outer envelopes must be identical.

Copied or mechanically reproduced outer envelopes, 3x5 cards, or inner envelopes are void and will not result in provision of Entries even if otherwise valid. The use of stickers, ink stamps, laser printer, photocopiers or mechanically reproduced 3x5 inch cards or envelopes is strictly prohibited and will not result in the provision of Entries even if otherwise valid. The use of third-party services or any industrialized process to submit requests is also strictly prohibited and voids all such submissions and may constitute illegal tampering. Everyrealm Development can, in its sole discretion, determine if a third-party service, team, workshop or any other industrialized process is being applied and declare all such AMOE submissions invalid.

Everyrealm Development is under no obligation to notify you in the event your submission is not in compliance with any of the rules or restrictions noted above. All requests become the property of Everyrealm Development and will not be returned, regardless of whether (or not) they are valid. Everyrealm Development disclaims any liability for late, lost, misdirected, postage due, damaged, destroyed, stolen, incomplete, illegible/garbled or corrupted submissions or for technological, electronic or programming failure/malfunction/error regardless of cause. Everyrealm Development disclaims any and all liability in conjunction with invalid submissions. Without limitation, postage will not be refunded.

Entries are to be used solely and only once by the individual who received the same directly from Everyworld Development.

1. USING ENTRIES TO PARTICIPATE IN SWEEPSTAKES.

If you have Entries, you will be required to opt into the Sweepstakes in the Everyworld Discord Server within 24 hours of each Drawing in order to be entered into a Drawing. If you hold $EVERY Token, you must connect your wallet within 24 hours of each Drawing in order to be entered into a Drawing.

7. SELECTING A WINNER.

Each Drawing shall be randomized and shall produce one potential Winner (“Winner”). If for any reason, the Winner is ineligible to receive the Payout, that Drawing shall be forfeited and the Payout shall be added to the pool for the next Drawing. Everyrealm Development or its agents reserve the right to declare any winner ineligible for the reasons set forth in Sections 2 and 8.

8. HOW TO GET PRIZE PAYOUT: KNOW YOUR CUSTOMER.

Winners of Drawings will be required to adhere to the applicable Terms and Conditions, including Eligibility. Everyrealm Development reserves the right, in its sole discretion, to condition the awarding/distribution of $EVERY upon the passing of its Know Your Customer (“KYC”) process. An account holder must set up and connect a wallet and pass the platform’s KYC” process. Depending on the facts of a given situation, the verification process may involve the potential winner executing documents and/or providing proof which corroborates his/her/their compliance with the Terms and Conditions and these Official Sweepstakes Rules.

If a potential winner refuses to cooperate with Everyrealm Development’s KYC process (or if a potential winner does cooperate, but Everyrealm Development determines in its sole discretion that the potential winner has not fully complied with the Terms and Conditions or these Official Sweepstakes Rules (e.g., proof furnished by potential winner is determined by Everyrealm Development in its sole discretion to be inadequate, incomplete or otherwise unacceptable), such individual's winner status shall be voided, no prizes will be awarded/distributed to such individual in conjunction with the verification process and Everyrealm Development shall have no liability to such individual as to same under any legal theory (with Everyrealm Development further reserving the right to compel such individual to disgorge any prizes previously awarded/distributed to him/her/them if also determined by Everyrealm Development in its sole discretion to have been received in contravention of the Terms & Conditions and/or these Official Sweepstakes Rules), such individual's account will be canceled and he/she/they will be prohibited from future use of the Website. In addition, Everyrealm Development reserves the right to pursue any and all available legal remedies against such individuals so as to protect its rights.

The pool of $EVERY that is allocated to each Drawing will initially be paid out as follows: (a) 45% to the Winner, (b) 45% to be donated to environmental conservation organizations, (c) 10% to be burned.

THE ABOVE-INDICATED RESTRICTIONS ON REDEMPTIONS ARE SUBJECT TO CHANGE. AT THE TIME OF ANY AND ALL CHANGES, EVERYWORLD WILL UPDATE THESE OFFICIAL SWEEPSTAKES RULES ACCORDINGLY. IT IS THE ACCOUNT HOLDER'S SOLE RESPONSIBILITY TO REVIEW THESE OFFICIAL SWEEPSTAKES RULES PERIODICALLY.

Everyrealm Development is committed to paying out redemption requests in a timely manner. Payouts are paid in $EVERY tokens. Subject to specific minimum redemption or exchange amounts, an account holder may redeem $EVERY once $EVERY has been reflected in the account holder’s Points account. Winners will receive $EVERY tokens based upon a 3 year unlocking period whereby 1/36th of the Payout of $EVERY tokens will be unlocked on a monthly basis with the first payment made within thirty (30) days of passing the platform’s KYC process.

Please note that EVERYREALM DEVELOPMENT MAKES NO REPRESENTATION, GUARANTEE OR WARRANTY OF ANY KIND REGARDING APPLICABLE TAXES OR TAX-DEDUCTIBILITY. Everyworld Development strongly advises that Participants consult with their accountant or other tax professional.

All unspecified expenses in conjunction with prize claim (e.g., bank fees, etc.), prize acceptance and use are the Winner's sole responsibility. Prizes are not transferable.

8. RELEASE OF LIABILITY

You indemnify, release and agree to hold harmless Everyrealm Development from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property arising out of or relating to your use of the Website and Discord Server (including any promotional games) and acceptance, possession, receipt or use/misuse of prize monies (as applicable).

9. USE OF NAME AND IMAGES PUBLICLY

Except where prohibited by law, acceptance of a prize constitutes the winner's agreement and consent for Everyrealm Development and its designees to use their first name, first initial of their last name, city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding Everyrealm Development or the Website (including the Game), worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising or promotion on behalf of Everyrealm Development and its designees in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, or the Internet, without further compensation or any limitation, restriction, notice, review, or approval. The preceding includes but is not limited to media interviews to be conducted by Everyrealm Development or its designees upon reasonable request. Nothing herein in any way obligates Everyrealm Development or its designees to use such publicity rights and, by refraining from doing so for any reason.

10. ADDITIONAL LIMITATIONS OR LIABILITY

Everyrealm Development is not responsible for: (a) communications (whether sent to or sent by an individual) or participation in the sweepstakes, which are late, lost, garbled, incomplete, inaccessible/blocked, corrupted, jumbled, misdirected, delayed or damaged, regardless of cause, all of which are void; (b) incomplete, incorrect or inaccurate information whether caused by website users, tampering, hacking or by any of the equipment or programming associated with or utilized on the website including the sweepstakes offered thereon, regardless of cause; (c) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any function or feature of the website or communications (whether sent to or sent by an individual); (d) any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of communications (whether sent to or sent by an individual) on account of technical problems or traffic congestion on the Internet or at any website (including but not limited to the website) or any combination thereof; or (e) any injury or damage to entrant's or to any person's computer or mobile device (or any information/materials stored therein) related to or resulting from downloading materials from the website or using the website including participating in the Drawing offered thereon.

In the event of any inconsistency between these Official Sweepstakes Rules and the content of any materials advertising the Website, these Official Sweepstakes Rules shall prevail, govern and control in all respects. The failure of Everyrealm Development to enforce any provision of these Official Sweepstakes Rules in a given instance shall not constitute the ongoing waiver of such provision.

11. HACKING OR TAMPERING WITH THE SERVICES

CAUTION: YOU AGREE THAT ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE WEBSITE, UNDERMINE THE LEGITIMATE OPERATION OF THE WEBSITE, USE A PROGRAM OR “BOT” TO ENTER THE SWEEPSTAKES OR OTHERWISE ATTEMPT TO DEFRAUD EVERYREALM DEVELOPMENT IN CONJUNCTION WITH THE WEBSITE (INCLUDING BUT NOT LIMITED TO THE GAME OFFERED THEREON) WILL RESULT IN IMMEDIATE CANCELLATION OF USER’S ACCOUNT, PROHIBITION FROM FUTURE USE OF THE WEBSITE AND, IN SUCH INSTANCE, EVERYREALM DEVELOPMENT RESERVES THE RIGHT TO PURSUE ALL AVAILABLE LEGAL REMEDIES AGAINST SUCH PERSON.

12. GOVERNING LAW

As fully set forth in the Terms & Conditions, participants understand and agree that:

Any claims or disputes regarding these Official Sweepstakes Rules will be resolved pursuant to the internal, substantive law of the State of New York, without regard to choice of law/conflict of law principles which would result in the application of the law of any jurisdiction other than that of the State of New York.

13. FORCE MAJEURE

If, for any reason, a Drawing is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm or other natural cataclysm, epidemic/pandemic, riot, strike, civil commotion, governmental regulation or any other causes beyond the control of Everyrealm Development which, in its sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of such promotional game, Everyrealm Development reserves the right at its sole discretion to cancel, terminate, modify or suspend such affected prize(s) available for same in a manner which is fair and equitable, as determined by Everyrealm Development in its sole discretion. Without in any way limiting the foregoing, should a sweepstakes be canceled outright, the liability of Everyrealm Development shall be limited to including such participants in the next sweepstakes (for account holders who participate via a purchase or without a purchase). Notice of any such action by Everyrealm Development will be posted on the Website.
